We are a media company called America Digital, LLC (“America Digital”). Our portfolio of media properties includes, without limitation, the web sites and/or social media accounts #EsTrending, I24 Mujer, Recetas para adelgazar, America Digital and FutbolClub with a cumulative total exposure of 32+ million people.
By accepting this Content Agreement you agree to and represent and warrant the following:
- You hereby grant America Digital and its licensees and/or assignees a worldwide, non-exclusive, royalty-free, perpetual, sub-licensable and transferable license to use, reproduce, distribute, edit, prepare derivative works of, display, perform or engage in any other exploitation of the Material in any and all media format and through any media channels now known or hereafter devised;
- You are the sole owner of the Material, and have the authority to grant us the rights and permissions that are set forth in this Content Agreement, and by granting us these rights you are not infringing the rights of any third-party;
- You have obtained all third-party clearances, including but not limited to clearances for all talent and images appearing in the Material;
- The material is free and clear of any third-party claims that would prevent us from using it in accordance with this Content Agreement; and
- The use of the material in accordance with this Content Agreement will not infringe the rights of any third-party.

Al aceptar este Acuerdo de Contenido, usted acepta, representa y garantiza lo siguiente:
- Por la presente, otorga a América Digital y sus licenciatarios y/o cesionarios una licencia mundial, no exclusiva, libre de regalías, perpetua, sublicenciable y transferible para usar, reproducir, distribuir, editar, preparar trabajos derivados de, mostrar, realizar o participar en cualquier otra explotación del Material en todos los medios, ahora conocidos o que se desarrollen en el futuro;
- Usted es el único propietario del Material y tiene la autoridad de otorgarnos los derechos y permisos establecidos en este Acuerdo de Contenido, y al otorgarnos estos derechos no está infringiendo los derechos de ningún tercero;
- Usted ha obtenido todas las autorizaciones de terceros, incluidas, entre otras, autorizaciones para todos los talentos, derechos de imagen, fotografías y/o videos que aparecen en el Material;
- El Material es gratuito y está libre de cualquier reclamo de terceros que nos impida usarlo como lo establece este Acuerdo de Contenido; y
- El uso del Material según lo establecido en este Acuerdo de Contenido no infringirá los derechos de ningún tercero.
